CADDYBAR™ Terms and Conditions of Sale
These Terms and Conditions of Sale (“Terms”) govern all purchases made by you (“Buyer”) from Partee Group LLC (“Seller”).
These Terms, along with product descriptions, quantities, and pricing agreed upon at the time of purchase, form the complete agreement (the “Contract”).
Any additional or conflicting terms from Buyer are expressly rejected unless agreed to in writing by both parties.
Products & Pricing
Product Description
Seller agrees to supply the products described in the Contract.
Pricing
Prices are subject to change based on market conditions prior to delivery.
Taxes & Fees
All prices exclude applicable taxes, duties, and fees, which are the responsibility of Buyer.
Payment Terms
Unless otherwise agreed in writing:
- Wholesale orders: Net 30 days
- Consumer orders: Payment due at checkout (C.O.D.)
Seller reserves the right to modify payment terms, suspend shipments, or revoke credit at any time.
Shipping & Delivery
All shipments are made from Seller’s facility unless otherwise specified.
- Risk transfers to Buyer once goods are delivered to carrier
- Shipping costs are Buyer’s responsibility
- Partial shipments may occur
Claims for shortages or defects must be submitted within 10 days of receipt.
Returns
Returns require prior approval and a valid RMA number.
- Returns accepted within 30 days of purchase
- Free return shipping on full or partial orders
- No restocking fee
- Items must be properly packaged
- Unauthorized returns will be rejected
Warranty
CADDYBAR™ products include a 1-year limited warranty covering defects in materials and workmanship.
This warranty does not apply to:
- Improper installation or use
- Unauthorized modifications or repairs
- Damage from misuse, neglect, or accidents
Seller’s obligation is limited to repair or replacement.
Limitation of Liability
Seller is not liable for indirect, incidental, or consequential damages, including lost profits or revenue.
Total liability is limited to the amount paid for the product.
Intellectual Property
All intellectual property related to CADDYBAR™ remains the exclusive property of Seller.
Confidentiality
Buyer agrees to keep all non-public information confidential unless disclosure is authorized or required by law.
Indemnification
Buyer agrees to defend and indemnify Seller against claims arising from misuse, resale, or unauthorized modifications of the product.
Force Majeure
Seller is not responsible for delays or failures caused by events beyond reasonable control, including supply chain disruptions, natural disasters, or labor issues.
Governing Law
These Terms are governed by the laws of the State of Illinois.
Any disputes must be resolved in courts located in Illinois.
General Terms
- Seller may assign or subcontract obligations
- Buyer may not assign without written consent
- Errors may be corrected by Seller
- All remedies are cumulative
